1. Agreement to Terms

By accessing and using the services provided by AV Logistics LLC ("we," "us," or "our"), you agree to be bound by these Terms of Service. If you do not agree to these terms, please do not use our services. These terms apply to all visitors, users, and others who access or use our services.

2. Services Description

AV Logistics LLC provides custom software development, web application development, mobile application development, cloud infrastructure services, API development, and digital transformation consulting services. We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice.

All services are provided on a project basis, and specific terms, deliverables, timelines, and pricing will be outlined in separate service agreements or contracts for each project.

3. Intellectual Property Rights

Unless otherwise specified in a written agreement, all intellectual property rights in the software, code, designs, and other deliverables created by AV Logistics LLC for a client shall be transferred to the client upon full payment of all fees. However, AV Logistics LLC retains the right to use general knowledge, skills, and experience gained during the project for other projects.

All pre-existing intellectual property, tools, frameworks, and methodologies owned by AV Logistics LLC remain our exclusive property and may be used in multiple projects.

4. Client Responsibilities

Clients are responsible for providing accurate, complete, and timely information necessary for the completion of projects. This includes but is not limited to:

• Providing clear project requirements and specifications
• Responding to requests for feedback and approvals in a timely manner
• Providing access to necessary systems, APIs, and third-party services
• Ensuring compliance with all applicable laws and regulations
• Making timely payments as specified in project agreements

5. Payment Terms

Payment terms will be specified in individual project agreements. Generally, payments may be required in installments based on project milestones. All fees are non-refundable unless otherwise specified in writing.

Late payments may result in suspension of services and may incur additional fees. We reserve the right to withhold deliverables until all outstanding payments are received.

6. Warranties and Disclaimers

AV Logistics LLC warrants that services will be performed in a professional and workmanlike manner consistent with industry standards. However, we make no warranties, express or implied, regarding the results that may be obtained from the use of our services.

We do not guarantee that our services will be uninterrupted, error-free, or completely secure. Clients acknowledge that software development involves inherent risks and that no software is completely free from defects.

7. Limitation of Liability

To the maximum extent permitted by law, AV Logistics LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities, arising out of or related to our services.

Our total liability for any claims arising from our services shall not exceed the total amount paid by the client for the specific project giving rise to the claim.

8. Confidentiality

Both parties agree to maintain the confidentiality of all proprietary and confidential information disclosed during the course of the project. This obligation shall survive the termination of the project and continue for a period of five years thereafter, unless otherwise required by law.

9. Termination

Either party may terminate a project agreement with written notice. Upon termination, the client shall pay for all work completed up to the date of termination, and AV Logistics LLC shall deliver all completed work products to the client.

We reserve the right to suspend or terminate services immediately in the event of non-payment, breach of these terms, or any illegal activity.

10. Governing Law

These Terms of Service shall be governed by and construed in accordance with the laws of Armenia, without regard to its conflict of law provisions. Any disputes arising from these terms shall be resolved through binding arbitration in Charentsavan, Kotayk, Armenia.

11. Changes to Terms

AV Logistics LLC reserves the right to modify these Terms of Service at any time. We will notify users of any material changes by posting the updated terms on our website. Continued use of our services after such modifications constitutes acceptance of the updated terms.
